The title of the Association shall be "The lnternational 470 Class Association of New Zealand Incorporated" .
(i) Definitions:
In these rules "the National Association" means the International 470 Class Association of New Zealand lncorporated and " the 470 Internationale "means the International 470 Class Association"(ii) The Class Flag is Code Flag Naval numeral 5.
Membership is open to all amateurs.There shall be two types of membership:
(i) Full Membership. Open on application to the Committee to any owner of a 470 dinghy who has completed a membership form, paid the prescribed subscription and who has not been expelled or suspended from membership under the provisions of rule 3(vi) hereof. Each Full Member shall be entitled to a vote at a General Meeting or in a postal ballot. In the case of a joint ownership r,, only the first name in the partnership shall be entitled to vote.
(ii) AssociateMembership. Open on application to the Committee to any person interested in the 470 Class, who has not been expelled or suspendedfrom membershipunder the provisions of rule 3(vi) hereof. Associate members shall not be entitled to vote at a General Meeting or in a postal ballot.However an Associate Member may be an elected Committee Member or Office Bearer and in that position may be entitled to a vote at any Meeting.
(iii) Members and Associate Members must be financial members of a yacht club affiliated to Yachting New Zealand.
(iv) Resignation of Members:
Any member intending to resign from the National Association shall give notice of such intention, in writing, to the Secretary.The resignation shall be effective as of the commencement of the next financial year of the National Association.The member shall remain liable for payment of subscription, levies and entry fees incurred before the date of such resignation.
- (v) Disqualification of Members:
- No member shall be entitled to exercise any of the rights or privileges of membership,or participate in any meeting of the National Association unless such member shall have paid the annual subscription for the then current year and all arrears of subscription, levy and entry fee. Any member who allows payrnent of subscription, levy, or entry fee to fall into arrear for a period exceeding six months may be excluded from membership by the Committee until such member has paid all such arrears. The National Association shall be entitled to recover all such arrears as a debt due by any defaulting member.
- (vi) If the Committee shall have any reason to suspect that the conduct of any member is injurious to the reputation of the National Association or its officers, or if a membe rshall commit a gross breach of sportsmanship,the following provisions to this Rule shall apply, viz:
- An enquiry into the conduct of such member may be held by the Committee either at an Ordinary meeting of the Committee or at a meeting of the Committee specially convened for the purpose.
- Not less than seven days' notice in writing of such meeting shall be given to the member and such meeting may be adjourned from time to time.
- If the Committee by a majority of its members shall find the member guilty of such conduct it may:
- (i) Expel such member, or
- (ii) Call on such member to resign his membership within fourteen days from the date of the notice of such requirement being givento the member and failing the receipt of such resignation within the time limited, may expel the member or impose any other penalty or punishment authorised by this Rule. or
(iii) Reprimand and/or suspend such member for a period not exceeding six calendar months. During such period of suspension the member shall not be entitled to enjoy any privileges attached to membership of the National Association.
If the Committee shall expel a member, such member shall have the right to appeal to a General Meeting of the National Association provided that within seven days of the decision of the Committee being made known to him he shall notify the Committee in writing of his intention to appeal. On the receipt of such notice the Committeeshall convene a Special General Meeting for the purpose of hearing the appeal.
(i) The annual subscription payable by Full and Associate Members on election and subsequently on the lst September each year, shall be fixed by the Committee of the National Association.
(ii) Any member who has not paid his subscription by the 1st day of October shall be requested in the name of the committee to pay same within 14 days, and if his subscription is still not paid by the 31st October, his name may be removed from the List of Members by the Committee.
(iii) A member accepted for membership after the1st February in any financial year shall be required to pay half the annual subscription.
(iv) The National Association; will pay on the 31st December each year a levy to the 470 Internationale of an amount per owner as decided annually at the 470 Internationale Annual General Meeting.
(i) The affairs of the National Association shall b emanaged by an elected Committee consisting of the following:
President, Vice-President, Secretary Treasurer, Registrar, Technical Officer, Publicity officer, 3 Committee and 1delegate for each provincial centre which races a fleet of 5 or more 470 dinghies. All members of the Committee shall be members of the National Association. The Committee shall have the power to fill vacancies occurring among offiers during the year. A quorum shall be 5 members.
(ii) The Committeeis to be elected annually at a General Meeting of members. The Committee shall hald office for one year but be eligible for re-election.
(iii) The Secretary shall be responsiblefor keeping correct minutes, etc., of all Committee and General Meetings, a register of members and for communicating the decisions of the Committee to members and others in such terms as the Committee may prescribe.
(iv) The Treasurer shall have charge of the funds of the Association, making such disbursements as the Committee requires..He shall keep an accurate record of the Association' sfinancial affairs. At the Annual General Meeting each year the accounts for the preceding year shall be examined and passed at the Annual General Meeing. Copies of the accountsshall be available to all members requiring them.
(v) The Committee shall have power to co-opt members to do such work as is necessary to ensure the smooth running of the National Association.
(vi) The Committee shall have power to make recommendations to the Annual General Meeting for alterations in or additions to the Rules of the Clas or for their interpretation. At the discretion of the Committee, a postal vote or referendum may be held. The recommendations to be submitted to the 470 lnternationale, France.
(vii) Without limitation or prejudice to the general powers of the Committee, it is expressly declared that the Committee may exercise and perform the following powers and duties:
(a) carry out all contracts entered into by the National Association.
(b) To purchase, lease, take in exchange, or otherwise acquire personal property of any kind whatsoever and to sell, lease, let out on hire or otherwise dispose of any personal property of the Association upon such terms and conditions as the Committee in its absolute discretion shall judge expedient.
(c) To borrow or raise or secure the pa5.rnentof moneyin such a manner as the Committee shall think fit and in particular by the issue of debentures, perpefual or otherwise, charged upon all or any of the Association's property (both present and future) and to purchase, redeem or pay off any such securities.
(d) Delegate all or any of its power or duties to sub-committees consisting of such member or members of the Committee or of the Association as may be thought fit.
(vii) The licensed shipyard(s) in New Zealand shall be responsible to notify the Registrar of the National Association of the names and addresses of the owners of every new 470 dinghy delivered.
(ix) The Committee shall produce to the Council of the 470 Internationale not later than 6 weeks after the close of each calendar year:
(a) A copy of the balance sheet certified correct by the President or the Treasurer.
(b) A correct statement of the number of subscriptions collected on 470 dinghies registered with the National Association.
(c) A concise report of the activities during the past year ,including details of the size and distribution of the Class in New Zealand.
(d) Full names and addresses and functions of the Committee.
(i)
(ii) Items for inclusion in an Agenda must be in the hands of the Class Secretary at least two week sbefore an Annual Meeting and members advised of these at least one week before the meeting.(a) An Annual Genera lMeeting of the National Associationshall be held each year during the second quarter of the year or at the National Championships, the date, time and place being at the Committee's discretion.
(b) At least one months noticeof the Annual Genera lMeetins shall be givene to members.
(iii) General Meetings may be called by the Committee.
- (iv) An Extraordinary General Meeting shall be called by the President or Secretary upon receipt by the Secretary of a request in writing signed by no fewer than ten Full Members of the Association.
- (v) At least sevenday'snoticeshall be givenof any ExtraordinaryMeeting.
- (vi) At any Meeting, decisions shall be by majority vote, voting to be by a show of hands unless a poll is demanded by no fewer than three Full Members or is ordered by the Chairman of the Meeting. At General Meetings both Full and Associate Members may be allowed to join the discussion,but only Full Members or the first named partner in a joint partnership may vote. At any Meeting the Chairman shall have the casting vote.
(vii) Any motion to alter the rules shall be conducted in the manner set out in paragraph 11 of these rules.
The President of the National Association will inform the Council of the 470 Intenationale at least two months before the date of a General Meeting of 470 Internationale.
(ii) The names of candidate(s) proposed as members of the Council of the 470 Internationale, a maximum of five delegates may be appointed to attend the General Meeting.
- (i) Any points which are to be included in the Agenda.
(iii) If the National Association is prevented from sending a delegation to the Annual General Meeting, a mandate may be given either to a Member of the council or to the Delegation of another country to act as representative. The mandate must be in writing signed personally by the President and notified to the President or Secretary of the 47 0Intemationale at least thirry days before the date fixed for the Meeting.
(iv) The delegation will be entitled to 20 votes plus1 vote for each fifty boats for which subscriptions have been paid to the 470 Intemationale for the previous financial year. The total number of votes are divided equally between the numbers of the delegation present at the Meeting with any surplus after the division added to the votesof the person in charge of the delegation.
No boat shall be allowed to race in any event for 470 dnghies unless the owner holds a valid Measurement Certificate for that boat and is a full member of the International 470 Class Association of New Zealand.
Any Club in which there are five or more Full Members of the Intemational 470 Class Association of New Zealand will be allocated a Fleet Number. A list of these Clubs will be circulated to all members each vear.
(i) Members of each fleet will appoint a Fleet Captain and Fleet Secretary who will be responsible for communicating to the owners news and decisions reached with regard to the Class and also for collecting subscriptions and forwarding entries for the Annual Championship Races, etc.
(ii) The National Association will be responsible for conduct of the Area Championships under the auspices of a yacht club affiliated to Yachting New Zealand and for the provision of competent officials. Entries for such Championship races may be accepted from any boats complying with the 470 Class Rules and theNational Association Regulations.
These Rules may be altered or added to at any Annual General Meeting or General Meeting subject to the following conditions:
- (a) Notice stating the general tenor of any proposed alteration or addition to the Rules shall be given to each member who is entitled to vote.
- (b) The meeting may amend any such proposals.
- (c) No resolution of any such meeting shall effect any alteration or addition to the Rules unless it be carried by a majority of at least two-thirds of the recorded voted of the members present at such meeting and entitled to vote.
- (d) Before coming into force, any addition or alteration of these rules must be approved by Yachting New Zealand.
The National Association shall have a Common Seal which shall be kept in the custody of the Secretary ,and shall not be affixed to any document or instrument except in pursuance of a resolution of the Committee and in the presence of two members thereof who shall sign every document or instrument to which the seal is affixed.
If upon the winding up or dissolution of the National Association there remains after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not paid or distributed among the members of the National Association, but shall be given or transferred to an institution within New Zealand having objects similar to the object of the National Association as the National Association may determine at or before the time of dissolution or in default thereof to Yachting New Zealand.
